RECYCLENET CORPORATION SIGNS MERGER AGREEMENT

Thursday March 4, 1999

RecycleNet Corporation and Garbalizer Machinery Corporation, signed an agreement to merge the two companies with RecycleNet as the operating company following the merger.

RecycleNet Corporation will not carry on any of Garbalizer’s existing machinery operations. Garbalizer’s machinery operations will be carried on by Garb-Oil & Power Corporation, a sister company to Garbalizer.

As a result of the merger, the name Garbalizer Machinery Corporation will be changed to RecycleNet Corporation, and will continue to trade publicly over the OTC-BULLETIN BOARD as GARM.
